Terms and conditions
These terms apply to all quotes and assignments of RMS. They are intended for business clients.
This is an English translation of the Dutch terms and conditions. If the two versions differ, the Dutch version prevails.
1. Definitions
- 1.1 RMS: Rijnstad Marketing Solutions, based in Arnhem, the Netherlands, reachable at info@rijnstadmarketing.nl.
- 1.2 Client: the business or organisation that gives RMS an assignment or receives a quote from RMS. This can be a natural person acting in the course of a profession or business, or a legal entity.
- 1.3 Assignment: the agreement under which RMS carries out work for the client, such as marketing advice, design, websites, content, social media, SEO or Google Business Profile.
- 1.4 Ongoing service: an assignment that recurs periodically, for example monthly, such as social media management or SEO.
- 1.5 In writing: by letter or by email.
2. Applicability
- 2.1 These terms apply to all quotes, assignments and agreements of RMS.
- 2.2 RMS works for business clients only. These terms are not intended for consumers.
- 2.3 Deviations only apply if RMS and the client have agreed them in writing. If the quote says something different from these terms, the quote prevails.
- 2.4 The client’s general terms and conditions do not apply, unless RMS has accepted them in writing.
- 2.5 If a provision of these terms is invalid, the other provisions remain in force. RMS and the client will then replace the invalid provision with one that comes as close as possible to its intention.
3. Quotes and formation of the agreement
- 3.1 Quotes from RMS are without obligation and are valid for the period stated in the quote. If no period is stated, the quote is valid for 30 days.
- 3.2 An assignment is formed as soon as the client accepts the quote in writing, or as soon as RMS starts the work at the client’s request.
- 3.3 Prices are stated in the quote in euros. The quote shows whether VAT is added.
- 3.4 An obvious mistake or typing error in a quote does not bind RMS.
4. Carrying out the assignment
- 4.1 RMS carries out the assignment carefully and to the best of its ability. This is an obligation of effort: RMS does not guarantee a specific result, such as a position in Google, a number of visitors, followers, enquiries or revenue.
- 4.2 Stated deadlines are estimates and not strict deadlines. If a deadline is likely to be exceeded, RMS will report this as soon as possible.
- 4.3 RMS may engage third parties where necessary or customary, such as printers, photographers or providers of software and hosting.
5. Cooperation of the client
- 5.1 The client provides, in good time, all information, materials and access that RMS needs, such as texts, images, logins and access to accounts.
- 5.2 The client guarantees that the materials supplied are correct and that the client is entitled to have them used. The client indemnifies RMS against third-party claims arising from materials supplied by the client.
- 5.3 If the client does not supply materials in time, deadlines shift accordingly. RMS may charge any extra costs this causes.
- 5.4 The client is responsible for the content it approves or has published, and for complying with the rules of platforms such as Google, Meta and LinkedIn.
6. Revisions and additional work
- 6.1 The number of revision rounds is stated in the quote.
- 6.2 Extra revision rounds and changes or additions outside the assignment are additional work. RMS discusses this with the client in advance and charges additional work at the rate in the quote or at a price agreed in advance.
7. Delivery and approval
- 7.1 The client reviews a delivery within 14 days and reports any defects in writing and as specifically as possible.
- 7.2 A delivery is deemed approved if the client does not respond within that period, or if the client starts using or publishes the work.
- 7.3 Minor defects that do not prevent use are no reason to withhold approval. RMS will, however, fix them within a reasonable time.
8. Ongoing services
- 8.1 The term and notice period of an ongoing service are agreed per assignment between RMS and the client. They are stated in the quote or assignment confirmation.
- 8.2 If nothing has been agreed, an ongoing service can be cancelled monthly with a notice period of one calendar month.
- 8.3 Cancellation must be made in writing.
9. Rates and payment
- 9.1 The client pays invoices within 14 days of the invoice date, unless the quote states otherwise.
- 9.2 Ongoing services are invoiced per period, as stated in the quote.
- 9.3 If the client does not pay on time, RMS first sends a reminder. If the client still does not pay, the client owes the statutory commercial interest and the extrajudicial collection costs in accordance with the statutory scale.
- 9.4 As long as a due invoice has not been paid, RMS may suspend the work.
- 9.5 RMS may adjust the rates of ongoing services. RMS announces this in writing at least one month in advance. The client may then cancel the service with effect from the date the new rate applies.
10. Hosting, domain names and third-party services
- 10.1 If RMS arranges hosting, a domain name or other third-party services for the client, the terms of those third parties also apply.
- 10.2 RMS is not responsible for outages, changes or the discontinuation of third-party services, such as hosting, software or platforms of Google and Meta.
- 10.3 A domain name that RMS registers for the client is registered in the client’s name, unless otherwise agreed in writing.
- 10.4 When the collaboration ends, RMS will cooperate in transferring hosting and the domain name to the client or to a party chosen by the client, once all outstanding invoices have been paid.
11. Intellectual property
- 11.1 The rights to work that RMS creates specifically for the client, such as a logo, design, website, texts or images, transfer to the client as soon as the client has paid all invoices for that assignment.
- 11.2 Third-party materials, such as stock images, fonts, plug-ins and software, are subject to the licence of those third parties. The client receives the right of use that the licence allows.
- 11.3 General knowledge, methods, templates and tools of RMS remain the property of RMS.
- 11.4 Working files, such as open design files, are only supplied by RMS if this has been agreed.
- 11.5 RMS may show the work in its own portfolio and marketing, unless the client objects in writing.
12. Liability
- 12.1 RMS is only liable for direct damage resulting from a failure attributable to RMS.
- 12.2 Liability is limited to the amount RMS has invoiced for the assignment concerned, excluding VAT. For an ongoing service, this is the amount RMS invoiced for that service in the six months before the damage occurred.
- 12.3 RMS is not liable for indirect damage, such as consequential damage, lost profits, missed savings, loss of data and reputational damage.
- 12.4 RMS is not liable for decisions by platforms, such as blocking an account, rejecting adverts or changes to algorithms.
- 12.5 These limitations do not apply in the event of intent or deliberate recklessness on the part of RMS.
- 12.6 The client reports damage in writing as soon as possible after discovering it.
13. Force majeure
- 13.1 RMS does not have to fulfil an obligation in the event of force majeure. This includes circumstances beyond RMS’s control, such as illness, outages at suppliers or internet providers, and platform failures.
- 13.2 If force majeure lasts longer than 60 days, either party may terminate the assignment in writing. Work already carried out is then paid proportionally.
14. Confidentiality
- 14.1 RMS and the client keep confidential information they receive from each other secret, also after the assignment has ended. This does not apply to information that is already public or that they are legally required to disclose.
15. Personal data
- 15.1 How RMS handles personal data is described in the privacy statement.
- 15.2 If RMS processes personal data on behalf of the client during an assignment, for example of the client’s customers, RMS and the client will conclude a data processing agreement for this.
16. Termination
- 16.1 Either party may terminate an assignment in writing with immediate effect if the other party goes bankrupt or applies for a suspension of payments, or if the other party fails to fulfil an important obligation and still does not do so after a written notice with a reasonable period.
- 16.2 The client pays for the work RMS has carried out up to the end of the assignment.
17. Changes to these terms
- 17.1 RMS may change these terms. A new version applies to new assignments. For ongoing services, a new version applies one month after RMS has notified the client in writing.
18. Applicable law and disputes
- 18.1 Dutch law applies to these terms and to all assignments of RMS.
- 18.2 RMS and the client will first try to resolve a dispute together. If that fails, the District Court of Gelderland has jurisdiction.
